The Challenge/Mandate

The firm was evaluating two U.S.-based deals in the Human Resources and Professional Employer Organization (PEO) sector and needed a seasoned executive advisor with sector-specific experience to help shape their investment thesis and diligence approach.

The advisor’s responsibilities included:

  • Participating in management presentations and review calls
  • Offering insights on product, operations, market dynamics, customer needs, and competitive landscape
  • Assisting in commercial and product due diligence should the deal progress
  • Shaping post-acquisition strategy and providing input on growth levers

Depending on the outcome of the investment, the client was open to longer-term opportunities for the advisor, including serving on the board or stepping into an interim or permanent executive role.

Search Strategy

To meet the client’s highly specific needs, we focused on identifying candidates with deep operational and strategic expertise in the U.S. PEO space, including:

  • Former CEOs, COOs, GMs, or Chief Product Officers at PE-backed roll-ups in the PEO sector
  • Leadership experience at companies such as CoAdvantage, G&A Partners, VensureHR, Engage PEO, Peoplease, PrestigePEO, ProService Hawaii, or QuestCo
  • Strong understanding of product development, service operations, competitive positioning, and regulatory frameworks in the HR outsourcing space
  • Familiarity with the commercial, product, and customer lifecycle aspects of PEO and HR services
  • Ability to provide value during diligence and potentially transition into a value-creation or governance role post-acquisition

We prioritized candidates with a demonstrated ability to work alongside PE investors and who could offer immediate impact through sharp sector insight and executive-level presence.

The Placement

We placed a proven PEO sector executive with over two decades of experience in human capital services, HR outsourcing, and professional employer organizations. As CEO of a nationally recognized PEO, he led strategic initiatives focused on operational excellence, client engagement, and product innovation.

Key highlights include:

  • Guided a team of seasoned HR veterans, delivering tailored workforce solutions to SMBs across the U.S.
  • Spearheaded initiatives to integrate emerging technologies, streamline service delivery, and expand service offerings
  • Played a key role in business development, expanding market share while improving customer satisfaction and retention
  • Collaborated with PE investors on strategic growth initiatives and participated in several roll-up and integration projects

His track record in navigating regulatory complexity, product strategy, and organizational leadership in the PEO space made him an ideal fit for the diligence and strategy mandate.

The Outcome

The advisor played a critical role in shaping the client’s investment thesis in the PEO space, providing strategic insights that informed valuation, competitive positioning, and operational fit. His contributions to early diligence and management discussions helped the client assess both risks and long-term opportunities across the two potential acquisitions.

As the deals progressed, he assisted in outlining post-acquisition integration strategies, value creation initiatives, and talent planning. He is now under consideration for a longer-term board or operating role pending successful transaction close, underscoring the impact of his engagement and the firm’s confidence in his continued value.
